1. Introduction & Definitions

- Buyer: The registered B2B client procuring goods.

- Custom Branded Goods: Products modified or customized with the Buyer's requested logo or artwork.
- RFQ: Request for Quotation submitted by the Buyer.
2. Eligibility & B2B Verification
CorpoKart operates strictly as a B2B marketplace. By using our services, you represent that you are an authorized signatory of a registered business entity. We reserve the right to request business verification documents, including but not limited to your GSTIN and Certificate of Incorporation.
3. RFQ & Ordering Process
An RFQ submitted through the Platform is an inquiry and does not constitute a binding contract. Upon reviewing your RFQ, we will issue a Quotation (Proforma Invoice). Quotations are generally valid for [QUOTATION_VALIDITY_PLACEHOLDER] days unless stated otherwise. An order becomes binding only upon acceptance of the Quotation, receipt of the Purchase Order (PO), and payment of the required advance.
4. Customization & Intellectual Property (IP)
For Custom Branded Goods, the Buyer warrants they possess full legal rights and authorization to use any logos, artwork, or brand assets provided to CorpoKart. The Buyer grants CorpoKart and its Vendors a limited, non-exclusive license to use these assets solely for the purpose of fulfilling the specific order.
Proof Approval: Before bulk production commences, a digital or physical proof will be provided. The Buyer's approval of this proof is final. Any errors present in the approved proof are the sole liability of the Buyer.
5. Pricing & Payment Terms
All prices are exclusive of applicable taxes (GST) unless otherwise stated. Payment terms will be explicitly outlined in the Quotation (e.g., [ADVANCE_PAYMENT_PLACEHOLDER]% advance required before production).
We use Razorpay as our secure payment gateway partner. By making a payment, you also agree to Razorpay's terms of service. Payments must be made from a verified corporate account matching the B2B entity details provided.
6. Sample Orders
Buyers may request sample orders for quality evaluation. Sample costs and associated shipping charges must be paid upfront. Whether sample costs are adjustable against a final bulk Purchase Order will be explicitly detailed in your specific Quotation.
7. Vendor Fulfillment & Platform Liability
CorpoKart operates as a managed marketplace. Goods are fulfilled directly by our network of verified Vendors. While we enforce strict quality standards, CorpoKart's liability is strictly limited to the value of the order. We shall not be liable for indirect damages, loss of business, or consequential losses resulting from third-party vendor failures or carrier delays.
8. Governing Law & Jurisdiction
These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in [JURISDICTION_PLACEHOLDER].
